ClassX Terms of Service

Effective Date: October 16, 2024

Welcome to ClassX.tech (“ClassX,” “we,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website located at www.classx.tech (“Platform”) and any related services provided by ClassX.tech (collectively, the “Service”). By accessing or using our Service, you (“User,” “you”) agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Platform.

ClassX connects learners, instructors, and venue hosts for in-person, hands-on classes. We’re a marketplace platform: instructors create and teach classes, hosts provide spaces, and learners book and attend. These Terms explain your rights and responsibilities when you use our websites, apps, and related services. The legally binding terms start below.

1) Agreement to Terms

These Terms of Service (the “Terms”) are a legally binding agreement between you and ClassX Inc. (or its applicable affiliate) (“ClassX,” “we,” “us,” or “our”), governing your access to and use of our website(s), mobile application(s), platform, networks, and services (collectively, the “Service”).

By clicking “I accept,” creating an account, or using the Service, you agree to be bound by these Terms and our Privacy Policy (collectively, the “Agreement”). If you do not agree, do not use the Service.

2) Service Overview

ClassX is a marketplace that connects: (a) Instructors who design and deliver in-person courses, workshops, and bootcamps; (b) Hosts who provide physical venues and logistics; and (c) Learners who book and attend learning experiences (collectively, “Users”). We may also support hybrid/online components (for example, pre-work or follow-ups) to enhance the in-person experience. ClassX itself does not generally create, own, or deliver the classes; those are provided by independent Instructors and Hosts.

3) Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you must have your parent or legal guardian’s consent. By using the Service, you represent and warrant that: (i) you meet these requirements; (ii) you have not been suspended or removed from the Service; and (iii) your use complies with applicable laws. If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity and it accepts these Terms.

4) Accounts & Registration

You must create an account to access most features. Provide accurate, current information and keep it updated. You are responsible for safeguarding your credentials and for all activities under your account. Do not share your account or allow others to access the Service through your account. Notify us immediately at [email protected] if you suspect unauthorized access. We may deny, reclaim, or reassign usernames.

5) Roles on the Platform

Learners. Book classes, follow safety and attendance rules, and comply with Instructor/Host policies shared in listings or onsite.

Instructors. Provide accurate listings, curricula, and requirements; ensure compliance with applicable laws (including permits, certifications, and safety); and deliver classes as advertised. Instructors are independent providers, not employees or agents of ClassX.

Hosts. Provide safe, compliant venues and logistics; maintain appropriate insurance (if required); and comply with building, health, and safety codes. Hosts are independent providers, not employees or agents of ClassX.

Marketplace status. Except where we expressly state otherwise or provide our own branded classes, ClassX is not the provider of the classes and does not control, supervise, or employ Instructors or Hosts. We may, however, set platform standards and policies and may remove listings or Users that violate these Terms or harm the community.

6) Payments, Pricing, and Taxes

6.1 Learner payments. Some features require payment (e.g., class fees). You will see the price and applicable fees/taxes before purchase. All amounts are in U.S. dollars unless stated otherwise at checkout. All sales are final. Classes are non-refundable. Learners may, however, request a voucher to delay their attendance or apply the paid amount to another class, subject to availability and our policies.

6.2 Instructor & Host revenue share. Revenue sharing terms with Instructors and Hosts are governed by their separate written agreements with ClassX. Please refer to your Instructor Agreement or Host Agreement for applicable details.

6.3 Authorization. You authorize ClassX and our payment processors to charge your payment method for purchases, taxes, and any other amounts disclosed at checkout. We may pre-authorize cards and charge fees for late cancellations or no-shows where stated.

6.4 Delinquency. We may suspend access for unpaid amounts and charge reasonable costs related to collections or chargebacks as allowed by law.

6.5 Taxes. Prices shown may exclude taxes. Where required, we will collect and remit applicable taxes; otherwise, Users are responsible for their own tax obligations.

7) Cancellations, No-Shows & Refunds

Learners. All class bookings are non-refundable. However, you may request a voucher to delay your attendance or apply your payment to another eligible class, subject to ClassX policies and availability. No-shows may be charged in full.

Instructors/Hosts. You agree to the voucher policy disclosed to Learners and to honor statutory rights (e.g., consumer protection rules in your jurisdiction). Excessive cancellations or schedule changes may result in penalties or removal from the platform.

8) Licenses & Content

8.1 License to You. Subject to your compliance with these Terms, ClassX grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for personal, non-commercial purposes.

8.2 Restrictions. You may not (and may not attempt to): copy, distribute, publicly perform/display, sell, rent, sublicense, or otherwise exploit the Service or any content; circumvent security; reverse engineer; extract data at scale; or use the Service to build a competing product, except as permitted by law.

8.3 Course Content. Instructors own their course materials (text, images, audio/video, slides, handouts, etc.). You may use Course Content only for your personal participation in the class and may not share, post, record, livestream, or redistribute it without permission.

8.4 User Content. If you upload or post content (e.g., messages, reviews, photos) you retain your rights, but you grant ClassX a worldwide, non-exclusive, royalty-free, sublicensable license to host, display, reproduce, modify for display/formatting, distribute, and otherwise use your content in connection with operating, improving, and promoting the Service.

8.5 Feedback. You grant ClassX a perpetual, irrevocable, royalty-free license to use suggestions or feedback without restriction or obligation.

8.6 Recording consent. Some classes or venues may capture photos/audio/video for safety, quality, or marketing. By attending, you consent to incidental capture; if you prefer not to be featured, notify the Instructor/Host before class.
